This is a legal agreement between you (the "Licensee") and SongPlus.link ("Licensor") for the AI-generated music files contained in any downloadable "SongPack" (the "Music"). By purchasing, downloading, or installing the Music, you agree to be bound by these terms.
1. Grant of License
The Licensor grants the Licensee a license to:
- Install the Music into a validly licensed installation of the Song+ Software.
- Stream the Music within the Software for personal use and creative inspiration.
- Use the Music as "inspiration" (e.g., learning, reference) for creating your own new, original musical compositions.
2. Restrictions (Airtight)
This license is strictly for inspiration and personal streaming within your private Song+ library. All rights not expressly granted are reserved by the Licensor. You may NOT do any of the following:
- No Distribution: You may not sell, resell, share, sublicense, distribute, or otherwise make the Music files available to any third party.
- No Public Hosting: You may not upload the Music files to any public server, file-sharing service, or content ID system (like YouTube Content ID).
- No Resale: You may not sell the Music in any form, whether as-is or as part of another collection.
- No Claim of Ownership: You may not claim copyright or authorship of the Music. The Licensor retains all copyrights.
- No Commercial Use As-Is: You may not use the Music *as-is* (e.g., as a standalone backing track for a commercial video) without explicit written permission from the Licensor.
3. AI Music & Copyright
You acknowledge that the Music is created by the Licensor (Clinton Moore / SongPlus.link) using AI music generation tools (such as Suno). As a professional-tier user, the Licensor has secured the commercial and distribution rights for this Music from the AI service. The Licensor is not affiliated with Suno AI or any other AI service.
The Licensor respects the rights of all artists and does not intend to infringe on any copyrights. Any likeness to existing works is unintentional. The Music is provided as an original creative work.
4. Disclaimer & Liability
The Music is provided "AS IS". The Licensor is not liable for any damages (including data loss or lost profits) arising from the use or inability to use the Music.
5. Termination
This license is terminated automatically if you breach any of its terms. Upon termination, you must immediately cease all use of the Music and destroy all copies.
6. Governing Law
This agreement shall be governed by the laws of the State of Tennessee.
